UGGC Africa is one of the most experienced transactional and litigation law firms in the member states of the Organisation for the Harmonisation of Business Law in Africa (OHADA). OHADA law is an initiative aimed at standardizing and modernizing business law in seventeen African countries, mainly in West and Central Africa.
OHADA law, which is embodied in uniform laws applicable in all member states, offers
African and foreign investors uniform treatment in a number of key areas of law (in particular company law, commercial law, securities, collective redress and arbitration) for their operations within the member states.
The OHADA Uniform Acts form the core of this legal system. They cover such diverse fields as commercial law,company law and accounting. By adopting these acts, member countries hope to
create a more predictable business environment.
It is crucial to note that OHADA is not just about implementing new laws. It also encompasses reforms to the OHADA accounting system, ensuring uniformity in the presentation of financial statements for companies operating in the region.
Over the past twenty years, the firm has developed a solid expertise in the various Uniform Acts and their implementation. We assist our clients with investment issues, setting up subsidiaries, joint ventures and corporate governance, as well as drafting and negotiating complex commercial contracts. UGGC Africa is also regularly involved in litigation, shareholder disputes, debt recovery and arbitration before the Common Court of Justice and Arbitration.
Finally,the firm has extensive experience in acquisitions within the OHADA zone and has assisted numerous groups and foreign investors, in particular by conducting legal audits, studying the regulatory framework and drafting and negotiating transfer and investment agreements.
