Take over of distressed company
UGGC Africa insures advice, assistance and representation of their clients willing the acquire all or part of companies in financial difficulties or which are subject to insolvency proceedings.
In this context, the firm supports its clients with recovery project’s conception and on this occasion, participates in negotiations with different parties involved (creditors, legal entities involved in the proceedings, persons representing public authorities), defines recovery project’s scope, assesses legal risks and assists buyer before the Court.
The firm’s recognized practice in this area allows it to intervene in important procedures involving, in particular, relations with the Autorité des Marchés Financiers (AMF), the Autorité de la Concurrence, the Interministerial Committee for Industrial Restructuring (CIRI) or the various services of local authorities.
Assistance to legal representatives
UGGC Africa assists legal representatives, administrator or creditors’ representatives, for any judicial or legal specific issue they can encounter.
The firm assists them in the day-to-day management of judicial safeguard, reorganization or liquidation proceedings during litigation proceedings to which they may be parties and in the formalization of structured legal transactions (assignments, memorandum of understanding, equity transactions).

Creditor's assistance
UGGC Africa assists creditors in their different procedures (claim declaration, if needed, appointment as controller, actions of recovery and all actions aimed at protecting and preserving the creditors’ interests).
Judicial treatment
UGGC Africa assists its clients during all steps of insolvency proceedings (safeguard procedure, administration or judicial liquidation), when proceeding began until implementation of the restructuring plan.
The firm assists its clients during negotiations with creditors, with or without creditor committees and to develop recovery or safeguarding plan. Finally, the firm’s team ensure global relations with the Court: President, official receiver, prosecutor, legal representatives, institutional actors (CCSF, CIRI, AGS, etc…).
From diagnosis to strategy

The firm’s team is intervene upstream of the insolvency procedures, for advisory missions within the framework of plans for renegotiation and restructuring of the debt or the preparation of a plan of transfer “prepack”.
